1. Acceptance of Terms

By accessing and using Home Nest ("the Platform," "we," "us," or "our"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our services.

These Terms apply to all users of the Platform, including buyers, property owners, real estate agents, builders, and any other users who access or use our services.

2. Description of Service

Home Nest is a real estate SaaS platform that facilitates property listings, property searches, communication between users, and related real estate services. We provide a marketplace where property owners, agents, and builders can list properties, and buyers can search and inquire about properties.

3. User Accounts

3.1 Account Creation

To use certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

3.2 Account Types

The Platform supports multiple user roles (Buyer, Owner, Agent, Builder). You must select the appropriate role and provide accurate information about your role. Misrepresentation of your role may result in account suspension or termination.

4. Subscription Plans and Payments

4.1 Subscription Plans

Property sellers (Owners, Agents, Builders) must subscribe to a plan to list properties. Subscription plans include:

• Basic Plan: Up to 5 listings
• Standard Plan: Up to 25 listings
• Premium Plan: Unlimited listings
• Enterprise Plan: Unlimited listings with additional features

4.2 Payment Terms

By subscribing to a plan, you agree to:

• Pay all fees associated with your subscription
• Provide valid payment information
• Authorize us to charge your payment method
• Understand that fees are non-refundable except as required by law
• Accept that subscription fees may change with notice

4.3 Subscription Renewal

Subscriptions automatically renew unless cancelled before the expiration date. You may cancel your subscription at any time from your dashboard, but you will continue to have access until the end of your current billing period.

5. Property Listings

5.1 Listing Requirements

When listing a property, you agree to:

• Provide accurate and complete property information
• Use only images you own or have permission to use
• Comply with all applicable laws and regulations
• Not list fraudulent, misleading, or illegal properties
• Maintain active subscriptions to keep listings active

5.2 Listing Moderation

We reserve the right to review, approve, reject, or remove any property listing at our discretion. Listings that violate these Terms or applicable laws may be removed without notice.

6. User Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Post false, misleading, or fraudulent information
• Harass, abuse, or harm other users
• Spam or send unsolicited communications
• Attempt to gain unauthorized access to the Platform
• Interfere with or disrupt the Platform's operation
• Use automated systems to access the Platform without permission
• Impersonate any person or entity

7. Intellectual Property

7.1 Platform Content

All content on the Platform, including text, graphics, logos, and software, is the property of Home Nest or its licensors and is protected by copyright and other intellectual property laws.

7.2 User Content

By posting content on the Platform, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content in connection with operating and promoting the Platform. You retain ownership of your content.

8. Disclaimers and Limitations of Liability

8.1 Service Disclaimer

The Platform is provided "as is" and "as available" without warranties of any kind. We do not guarantee that the Platform will be uninterrupted, secure, or error-free. We are not responsible for the accuracy, completeness, or reliability of property listings or user-generated content.

8.2 Limitation of Liability

To the maximum extent permitted by law, Home Nest shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Platform.

8.3 Third-Party Transactions

Home Nest is a platform that facilitates connections between users. We are not a party to any transactions between users and are not responsible for the quality, safety, or legality of properties listed or transactions conducted through the Platform.

9. Indemnification

You agree to indemnify, defend, and hold harmless Home Nest and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorney's fees) arising from your use of the Platform, violation of these Terms, or infringement of any rights of another.

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your dashboard settings.

10.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in fraudulent activity, or for any other reason we deem necessary to protect the Platform and its users.

10.3 Effect of Termination

Upon termination, your right to use the Platform will cease immediately. We may delete your account and content, and you will not be entitled to any refund of subscription fees.

11. Dispute Resolution

Any disputes arising from or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms.
